Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and PracticeStacks. By accessing our platform, you agree to comply with these professional standards.

01Professional Eligibility

PracticeStacks is designed exclusively for professional use by Chartered Accountants, Company Secretaries, CMAs, and Tax Consultants. You represent that you possess the necessary professional certifications to provide the services outlined in your proposals.

02Anti-Spam & Fair Use Policy

Strict Anti-Spam Zero Tolerance

PracticeStacks platform must NOT be used for sending unsolicited marketing proposals (spam). You may only send proposals to clients with whom you have a pre-existing professional relationship or who have explicitly requested a quote. Violation of this policy will result in immediate permanent account suspension without refund.

03Intellectual Property Sovereignty

PracticeStacks owns the platform architecture, design, and code. However, **you retain 100% ownership** of the content, pricing data, and client information contained within your proposals. We act solely as a processor for your data.

04Data Processing Terms (DPDP Act, 2023)

This section constitutes the valid contract required under Section 8(2) of the Digital Personal Data Protection Act, 2023 for processing undertaken on your behalf. For personal data of your clients that you store on the Platform (client contact details, PAN, GST and other identifiers, documents), you are the Data Fiduciary and PracticeStacks is your Data Processor. As your processor, we:

  • Process such data only to provide the Platform's services and on your documented instructions — never for our own marketing or profiling.
  • Apply reasonable security safeguards: TLS 1.3 in transit, AES-256 encryption at rest, encrypted credential storage, and role-based access controls.
  • Engage the sub-processors listed in our Privacy Policy (hosting, database, storage, communication, payment, and AI services) solely as needed to deliver the service.
  • Notify you without undue delay of any personal data breach affecting your data, so you can meet your own notification obligations to the Data Protection Board and affected data principals.
  • Delete or return your clients' personal data when you delete it from the Platform or terminate your account, subject to legally required retention.

You remain responsible for having a lawful basis (consent or legitimate use under Sections 6-7 of the DPDP Act) for the client data you upload; the Platform's DPDP Compliance module helps you record it.

05Limitation of Liability

While we maintain 99.9% uptime and high-end security, PracticeStacks is provided "as-is". We are not liable for any professional negligence, missed deadlines, or financial losses arising from the use of proposals generated on our platform. The professional remains solely responsible for the accuracy of their advice.

06Subscription & Termination

Subscriptions are billed in advance. PracticeStacks reserves the right to terminate accounts that violate professional codes of conduct or engage in fraudulent activities. For refund information, please see our dedicated Refund Policy.

Jurisdiction

These terms are governed by the laws of India. Any disputes arising from the use of the platform shall be subject to the exclusive jurisdiction of the courts located in **Pune, Maharashtra, India**.
